Terms of Service

These Terms of Service ("Terms") are an agreement between Xoptra LLC ("Xoptra," "we," "us," or "our") and the business that registers for or uses Xoptra RCS ("you" or "your"). Please read them carefully. By creating an account, signing up, or using Xoptra RCS, you agree to these Terms. If you don't agree, don't use the service.
1. Acceptance of these Terms
By accessing or using Xoptra RCS, you confirm that you've read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you're agreeing on behalf of a business, you represent that you have the authority to bind that business to these Terms, and "you" refers to that business.
2. What Xoptra RCS is
Xoptra RCS (the "Repeat Client System") is a software-as-a-service platform that helps US home-service businesses — such as HVAC, plumbing, and similar trades — stay in touch with their own existing customers and turn past customers into repeat revenue.
The service lets you send relationship and service-related text messages to your customers, including:
- appointment confirmations,
- missed-call follow-up texts,
- post-service review requests,
- maintenance and rebooking reminders, and
- invoice and review links.
Messages are sent over SMS from a US toll-free number (using Twilio) to US recipients only. Every message identifies your business as the sender and includes opt-out instructions.
How we handle data (plain English). There are two kinds of data, and our role differs for each:
- Your customers' data and the messages you send. For the customer records you load and the messages you send to your customers, we act as a service provider / processor on your behalf. You direct what's sent and to whom; we process it to deliver the service.
- Your account data. For the information about you and your account (your business profile, login, billing, and settings), we act as the controller.
3. Eligibility
To use Xoptra RCS, you must:
- be a US-based service business (or an authorized representative of one),
- be at least 18 years old and able to form a binding contract, and
- use the service only to message customers located in the United States.
The service is not intended for consumers, for businesses outside the US, or for messaging recipients outside the US.
4. Your account and security responsibilities
- You're responsible for the accuracy of the information you provide and for keeping it current.
- You're responsible for all activity under your account, including activity by your staff and anyone you authorize.
- Keep your login credentials confidential. Use strong, unique passwords and limit access to people who need it.
- Tell us promptly at support@xoptra.com if you suspect any unauthorized access or use of your account.
5. Business client responsibilities (consent and compliance)
This section is important. Because you decide who gets messaged and what's sent, you carry the consent and compliance obligations. By using Xoptra RCS, you represent, warrant, and agree that:
- Valid consent. You have obtained valid consent from each customer before messaging them. Our consent model is verbal opt-in: the customer gives their mobile number directly to your business — at booking, intake, missed-call follow-up, or service scheduling — and, after being shown or read the SMS disclosure (the message types, frequency, rates, STOP/START/HELP keywords, and that consent isn't a condition of purchase), affirmatively agrees to receive service-related texts from your business. Simply collecting a phone number is not consent. Consent is not a condition of any purchase.
- Your own existing customers only. You message only your business's own existing customers. You will not use purchased, rented, scraped, or other third-party lists, and you will not load or message numbers you did not collect directly from your own customers.
- Legal compliance. You comply with all applicable laws, regulations, and industry rules governing your messaging, including the Telephone Consumer Protection Act (TCPA), CTIA messaging guidelines, and applicable carrier rules.
- Honor opt-outs. You promptly honor opt-out requests. Opt-outs are honored on a per-business basis — when a customer opts out of your messages, you stop messaging that customer.
- Accurate records. You make sure the customer data you load into the service is accurate and lawfully collected, and you keep your own records of how and when consent was obtained. You remain the owner and controller of that underlying consent; the platform records and timestamps opt-out status (and consent capture) on your behalf, but the system of record for the original consent is yours.
You are solely responsible for the content you choose to send and for your compliance with these obligations.
6. Acceptable use and prohibited content
You agree not to use Xoptra RCS to:
- send spam, bulk unsolicited messages, or messages to people who haven't consented;
- send third-party advertising or marketing on behalf of anyone other than your own business — the service is for your transactional and relationship messaging only;
- send prohibited "SHAFT" content (Sex, Hate, Alcohol, Firearms, or Tobacco) or any other content prohibited by carriers or messaging guidelines;
- send unlawful, fraudulent, deceptive, harassing, or abusive content;
- message recipients outside the United States;
- impersonate another person or business, or misrepresent who is sending the message;
- attempt to bypass opt-outs, rate limits, or other safeguards;
- interfere with, disrupt, reverse-engineer, or attempt to gain unauthorized access to the service or other accounts; or
- use the service in any way that violates applicable law or these Terms.
We may filter, block, or refuse to send messages that we reasonably believe violate this section, carrier rules, or applicable law.
7. SMS messaging program terms
These terms govern your use of the messaging program. Because the end customer is not a party to these B2B Terms, the recipient-facing disclosures below must actually reach recipients — they are surfaced at the point of opt-in (the SMS disclosure shown or read at sign-up), in the messages themselves, and in a recipient-reachable SMS Terms page or your Privacy Policy.
- Transactional and relationship messages only. Messages are limited to service-related communications — appointment confirmations, missed-call follow-ups, review requests, maintenance/rebooking reminders, and invoice/review links. No third-party advertising.
- Sender identification. Every message identifies the sending business.
- Keywords. Recipients can reply STOP (or UNSUBSCRIBE / CANCEL) to opt out, START to opt back in, and HELP for help. Opt-outs are honored on a per-business basis.
- HELP reply. A reply of HELP returns the sending business name, a support contact (email/phone), and opt-out instructions.
- Message frequency varies. The number of messages a recipient receives depends on their interactions with your business.
- Message and data rates may apply. Standard message and data rates from the recipient's mobile carrier may apply.
- Consent is not a condition of purchase. Customers are not required to agree to receive texts in order to buy anything.
- We don't sell opt-in data. We do not sell mobile opt-in data, and we do not share it with third parties for their own marketing.
- Carriers are not liable for delayed or undelivered messages.
- Where to learn more. Our Privacy Policy and these Terms are available to recipients and account holders.
8. Fees
Fees, billing terms, and payment schedules for Xoptra RCS will be described in your order, subscription plan, or a separate agreement. Unless stated otherwise, fees are non-refundable except where required by law. You're responsible for any taxes associated with your use of the service.
9. Intellectual property
Xoptra RCS, including the platform, software, designs, and the Xoptra brand, is owned by Xoptra LLC and its licensors, and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service during your subscription, subject to these Terms.
You keep ownership of your business content and your customer data ("Your Data"). You grant us the limited right to process Your Data as needed to provide and support the service. You're responsible for having the rights necessary to provide Your Data to us for this purpose.
10. Security
We use reasonable technical and organizational measures designed to protect the service and Your Data, including access controls, least-privilege access, encryption of data in transit, and logical separation between business accounts. No system is perfectly secure, and we don't guarantee that the service will be free from unauthorized access or other security issues. You're responsible for your own account security as described in Section 4.
11. Disclaimers
The service is provided "as is" and "as available," without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or that messages will always be delivered — message delivery depends on carriers and other third parties outside our control. We do not provide legal advice, and nothing in the service is a substitute for your own compliance review with qualified counsel.
12. Limitation of liability
To the fullest extent permitted by law:
- We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to the service or these Terms.
- Our total liability for all claims relating to the service will not exceed the amount you paid us for the service in the 12 months before the event giving rise to the claim.
Some jurisdictions don't allow certain limitations, so some of these may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold harmless Xoptra LLC and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- your messaging activity and the content you send;
- your failure to obtain or maintain valid consent;
- your use of purchased, rented, or third-party lists;
- your failure to honor opt-outs; or
- your violation of these Terms or of applicable law (including the TCPA, CTIA guidelines, or carrier rules).
14. Suspension and termination
- You may stop using the service and close your account at any time.
- We may suspend or terminate your access — in whole or in part, with or without notice — if we reasonably believe you've violated these Terms, created legal or security risk, or harmed the service, other users, or recipients. Where practical, we'll give you notice and an opportunity to fix the issue.
- On termination, your right to use the service ends. Sections that by their nature should survive — including fees owed, intellectual property, disclaimers, limitation of liability, and indemnification — survive termination.
15. Governing law
These Terms are governed by the laws of Texas, without regard to its conflict-of-laws rules. The parties agree to the exclusive jurisdiction of the courts located there, to the extent permitted by law.
16. Changes to these Terms
We may update these Terms from time to time. When we do, we'll revise the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the service after changes take effect means you accept the updated Terms.
